Terms of Service
Effective date: August 28, 2026
Last updated: August 28, 2026
These Terms govern your use of smma.socialnestmarketing.com and any services you purchase from Social Nest Marketing ("Social Nest Marketing," "we," "us," or "our"). By using this website or purchasing a plan, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
1. Our services
We provide done-for-you social media management and web design services. Depending on the plan you select, these may include content strategy, graphic design, copywriting, hashtag research, scheduling and publishing, analytics reporting, strategy calls, and website design and hosting.
What is included in your plan is set out on our Services page and in any written proposal we send you. Where the two differ, the written proposal controls.
2. Plans, billing, and renewal
Pricing. Current pricing is published on our Services page. We may change prices, but a change will not affect a cycle you have already paid for.
Cycles. Plans run in 30, 60, or 90-day cycles as selected at purchase. Unless you tell us otherwise, plans renew automatically at the end of each cycle at the then-current price.
Non-renewal. You may choose not to renew by notifying us in writing at marketing@lc.socialnestmarketing.com before the end of your current cycle. There is no long-term contract beyond the cycle you have purchased.
Payment. Fees are payable in advance. If a payment fails or is not made when due, we may suspend work until the account is current.
Refunds. Fees for a cycle already begun are non-refundable, because work — strategy, design, and scheduling — is performed up front. If we have not started work on a cycle, contact us and we will discuss it in good faith.
Included platform account. Plans include access to a CRM and marketing automation account provided through a third-party platform. Access lasts as long as your plan is active. When your plan ends, you are responsible for exporting your data; we will give you a reasonable opportunity to do so.
3. What we need from you
To do the work, you agree to:
- give us timely access to the social accounts, pages, and assets we need;
- provide accurate information about your business, products, and claims;
- review and respond to content, calendars, and requests within a reasonable time;
- make sure anything you give us — photos, logos, copy, testimonials, offers — is accurate, is yours to use, and does not infringe anyone's rights;
- comply with the rules of the platforms your content is published on.
If we are delayed because we are waiting on you, timelines shift accordingly and fees remain due.
4. Approvals and publishing
We provide a content calendar so you can see what is scheduled before it publishes. If you do not raise changes before the scheduled date, we may publish as planned. You remain responsible for the accuracy of factual claims about your own business.
5. Ownership
Your material. You keep ownership of everything you provide to us, and of your brand, trademarks, and social accounts.
Content we create. Once fees for the relevant cycle are paid in full, you own the finished content we produce specifically for you. Until then, we retain ownership.
Our material. We keep ownership of our processes, templates, frameworks, tools, and anything we develop that is not specific to you. Nothing here transfers rights in those.
Portfolio. We may identify you as a client and show work we produced for you in our portfolio and marketing, unless you tell us in writing that you would prefer we did not.
6. Third-party platforms
Our services depend on platforms we do not control, including Meta, Instagram, TikTok, LinkedIn, X, YouTube, Pinterest, and our CRM provider. Those platforms set their own rules and change them without notice.
7. No guarantee of results
We do not guarantee any specific result. Social media outcomes depend on your industry, offer, pricing, market, competition, budget, the quality of the material you provide, platform algorithms, and factors none of us controls.
Nothing on our website, in our advertising, in a proposal, or in a conversation is a promise of a particular number of followers, level of engagement, volume of leads, amount of revenue, or return on investment. Any figures, examples, or case studies we share are illustrative of what has been possible, not a prediction of what you will achieve.
You are responsible for your own business decisions.
8. Acceptable use
You may not use our services to publish or promote content that is unlawful; infringes someone's intellectual property, privacy, or publicity rights; is defamatory, harassing, hateful, or obscene; is deceptive or fraudulent; or violates the rules of the platform it is published on.
We may decline to produce or publish anything we reasonably believe falls into these categories, and we may terminate for repeated requests to do so.
9. Confidentiality
Each of us may receive non-public information from the other. Both of us agree to keep it confidential, use it only to perform or receive the services, and protect it with reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known, is independently developed, or must be disclosed by law.
10. Disclaimers
Our website and services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the services will be uninterrupted, timely, secure, or error-free.
Content on this website is for general information and is not professional, legal, financial, or tax advice.
11. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or lost business opportunity, even if advised such damages were possible.
- Our total liability arising out of or relating to these Terms or the services is limited to the amount you paid us in the three months immediately before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnity
You agree to indemnify and hold us harmless from claims, damages, losses, and reasonable legal costs arising from material you provide to us, your products or services, your business claims, your use of the services in breach of these Terms, or your violation of law or third-party rights.
13. Termination
Either of us may end the relationship by choosing not to renew at the end of a cycle, as described in Section 2.
We may suspend or terminate immediately if you fail to pay, breach these Terms materially, or use the services unlawfully. On termination, fees for work performed remain due, and we will provide reasonable assistance in handing back access to your accounts.
Sections that by their nature should survive — ownership, confidentiality, disclaimers, limitation of liability, indemnity, and governing law — survive termination.
14. Communications
By providing your contact details you agree we may contact you by email, phone, and text message about your enquiry and our services. Message and data rates may apply. Reply STOP to any text to opt out of marketing texts. See our Privacy Policy for details.
15. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Dallas County, Texas, and both of us consent to their jurisdiction.
Before filing anything, we each agree to try in good faith to resolve the dispute by contacting the other and allowing 30 days to reach a resolution.
16. General
- Entire agreement. These Terms, together with any written proposal and our Privacy Policy, are the whole agreement between us on this subject.
- Changes. We may update these Terms. We will revise the "Last updated" date, and material changes take effect for your next cycle. Continuing to use the services after that means you accept them.
- Severability. If any provision is unenforceable, the rest stays in effect.
- No waiver. Not enforcing a provision once does not waive it.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of our business.
- Independent contractors. We are independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship.
